Investing in Rebel Fuels: A Primer for Potential Investors

If you have never considered investing in a startup and are wondering how it works, this primer provides an overview of some of the things you should consider, as well as details about the particular manner by which Rebel Fuels is seeking investments.

Who can invest in a startup?

The answer to this question depends on many factors. For Rebel Fuels, we are seeking investment (a minimum of $25K) from so-called "accredited investors." You may not realize you are an accredited investor, but if you meet any of the following criteria, you automatically qualify (there's nothing you must do to become "accredited"):

Net Worth: Your net worth exceeds $1 million, not including the value of your primary residence, either individually or jointly with a spouse.

OR

Income: An annual income exceeding $200,000 (individually) or $300,000 (jointly with a spouse) in each of the prior two years, with reasonable expectation of the same for the current year.

OR

Professional Credentials: You hold a Series 7, Series 65, or Series 82 license.

How do you invest?

Rebel Fuels is raising money using what is called a SAFE note, or Simple Agreement for Future Equity. It is a simple contract that states that when there is a future fundraising round with institutional investors (which requires a third party valuation of the company), then the amount of money invested is converted into shares. Because you are investing early, there are parameters in the SAFE that ensure you get a bit of a better deal, on $/share price, than the institutional investors.

TLDR: You invest cash now, you will not know what % of the company you own until there is an institutional fundraising round, but you get a better deal on share price because you're investing early.

Isn't it risky?

If you've been watching your 401k like I have, I assume you are just as unhappy with the current level of volatility and uncertainty (and complexity, and ambiguity, to complete the VUCA...) in public markets. A startup is NOT a safe haven for your money. You could lose your entire investment. It is, however, diversification. And you'll get a much closer look at the day-to-day operations of a startup than you would a public company. In fact, you could get involved in other ways, and wouldn't that be cool?
